Welcome to QuantKey.com (“QuantKey,” “we,” “our,” or “us”), a Software-as-a-Service (SaaS) platform providing [brief description of services, e.g., data analytics, automation, etc.]. By accessing or using our website and services (collectively, the “Service”), you (“User,” “you,” or “your”) agree to comply with and be bound by the following terms and conditions ("Terms"). 2. Use of the Service

QuantKey grants you a limited, non-exclusive, non-transferable license to use the Service solely for lawful business or personal purposes, in accordance with these Terms. You agree not to:

Copy, modify, distribute, or create derivative works based on the Service, except as expressly permitted.

Reverse engineer, decompile, or disassemble any portion of the Service, unless permitted by law.

Use the Service in any manner that could harm, disable, or interfere with its operation.

3. Account Registration

To use the Service, you may be required to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update your information as necessary. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4. Subscription Plans and Payment

QuantKey offers various subscription plans for the Service. By subscribing, you agree to pay the applicable fees for your chosen plan. Payment will be billed on a recurring basis according to the terms of your subscription. All payments are non-refundable unless otherwise specified.

Billing Cycle: Your subscription will automatically renew at the end of each billing cycle unless canceled before the renewal date.

Cancellation and Refunds: You may cancel your subscription at any time, but no refunds will be issued for any prepaid period.

5. User Content

You retain ownership of any data, content, or materials you upload or create using the Service ("User Content"). However, by uploading or providing User Content, you grant QuantKey a worldwide, royalty-free, sublicensable license to use, store, and display such content as necessary for providing and improving the Service.

You represent and warrant that you have the necessary rights to the User Content and that your use of the Service does not infringe upon any third-party rights.

6. Prohibited Activities

You agree not to engage in any of the following prohibited activities while using the Service:

Violating any applicable local, state, or international laws or regulations.

Uploading or distributing malicious code, viruses, or other harmful software.

Interfering with or disrupting the security or functionality of the Service or any associated networks.

Impersonating any person or entity or misrepresenting your affiliation with any person or entity.

7. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated by reference into these Terms. By using the Service, you consent to the collection and use of your data as outlined in the Privacy Policy.

8. Intellectual Property

All intellectual property rights in the Service, including but not limited to software, designs, trademarks, and logos, are owned by QuantKey or its licensors. You acknowledge that you have no rights to any of the intellectual property in the Service other than the limited rights granted to you under these Terms.

9. Disclaimers and Limitation of Liability

The Service is provided “as is” and “as available,” without any warranties of any kind, either express or implied. QuantKey does not warrant that the Service will be error-free, secure, or meet your requirements.

To the maximum extent permitted by law, QuantKey shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or related to your use of the Service.

10. Indemnification

You agree to indemnify, defend, and hold harmless QuantKey, its officers, employees, agents, and affiliates from any claims, losses, liabilities, damages, or expenses (including attorneys’ fees) arising out of or related to your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

11. Modification of Terms

QuantKey reserves the right to modify or update these Terms at any time. We will notify you of any material changes by posting the updated Terms on this page. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.

12. Termination

QuantKey may suspend or terminate your access to the Service at any time for any reason, including if you violate these Terms. Upon termination, you must immediately cease using the Service and any access to your account may be revoked.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Maryland, USA, without regard to its conflict of law principles. Any disputes arising out of or related to these Terms shall be subject to the exclusive jurisdiction of the courts located in Maryland, USA.
